PROHIBITED PRODUCTS AND SERVICES POLICY

Payments.Ai LLC (“Payments.Ai,” “we,” “us,” or “our”) supports the sale of a wide range of products and services through our Merchant of Record checkout and billing infrastructure, subject to the restrictions in this Prohibited Products and Services Policy (this “Policy”). This Policy is incorporated by reference into, and forms part of, our Terms of Service. Capitalized terms not defined in this Policy have the meanings given to them in the Terms of Service.

For the safety of our users and the integrity of our payment infrastructure, the products and services described in this Policy may not be sold or offered—whether for payment or for free—through the Services. We may remove, delist, or block any product, service, or checkout page that violates this Policy or our Terms of Service, at our discretion and without notice.

You are responsible for ensuring that your Offerings comply with this Policy and all applicable laws. If you offer a prohibited or restricted product or service, we may remove the offending Offering, suspend or terminate your account, and withhold or reverse related payouts as described in our Terms of Service. Accounts suspended for a suspected Policy violation may have payouts withheld during our investigation, which we expect will typically take up to ninety (90) days but which may take longer—up to one hundred eighty (180) days—where required by a Financial Partner, a card network, or applicable law. We may refund End Customers for transactions involving prohibited Offerings and may withhold or forfeit associated funds if chargebacks, disputes, or legal liability result.

1. Illegal Products and Services

You may not use the Services to sell or offer any product or service that violates applicable law, including laws relating to sanctions, export controls, anti-money laundering, and counter-terrorist financing. You are solely responsible for determining which laws apply to your Offerings and for complying with them. If you are unsure which laws apply to your business, we encourage you to consult a qualified professional.

2. Prohibited Products and Services

The following categories of products and services may not be sold or offered through the Services under any circumstances, regardless of how they are described, packaged, or listed:

Adult Content and Services – Pornographic or sexually explicit material depicting real sexual acts, or any product or service marketed primarily for adult sexual gratification.

Alcohol, Tobacco, and Nicotine Products – Alcoholic beverages, tobacco products, e-cigarettes, vaping devices, and other nicotine-delivery products.

Cannabis and Marijuana Products – Cannabis, marijuana, cannabis- or hemp-derived products, THC products, and related paraphernalia, regardless of the legality of such products in a particular jurisdiction.

Controlled Substances, Pharmaceuticals, and Unregulated Supplements – Prescription medications, scheduled controlled substances, and health or nutraceutical products lacking applicable regulatory approval (e.g., FDA approval in the United States) or that are marketed with unsubstantiated therapeutic, disease-treatment, or cure claims.

Debt and Consumer Lending Services – Credit repair services, loan modification services, debt relief or settlement services, personal loan brokering, payday lending, or other consumer lending activity that requires state, federal, or other governmental licensing you do not hold.

Fireworks and Pyrotechnics – Consumer or display fireworks, explosive novelty items, and related pyrotechnic devices.

Fraudulent or Unauthorized Government Documents or Services – Impersonation of a government agency or official, and the creation, sale, or alteration of forged, fraudulent, or unauthorized government-issued documents, credentials, or services.

Gambling and Wagering – Betting platforms, wagering operations, lotteries, raffles, or other games of chance that are unlawful under applicable state or federal law. This does not include lawful informational, analytical, or advisory content relating to sports or gambling that does not itself facilitate a wager.

Hateful or Violent Content – Content or services that promote hatred, discrimination, or violence against individuals or groups based on race, ethnicity, national origin, religion, gender, sexual orientation, disability, or other protected characteristic, or that glorify or incite real-world violence.

Human Parts and Biological Materials – Human organs, tissue, blood, bodily fluids, or other biological materials.

Unauthorized Identity Documents or Services – Government-issued or personal identification documents, or credentials, that are created, sold, altered, or issued without proper authorization.

Counterfeit or Infringing Goods – Counterfeit merchandise, unauthorized replicas, or any product or service that infringes a third party’s trademark, patent, copyright, or other intellectual property right.

Pirated Content and Unauthorized Streaming – Pirated digital content, unauthorized IPTV or streaming services, or any product or service that promotes, facilitates, or profits from the unauthorized distribution of copyrighted material.

Legal Services – The provision of legal advice, legal representation, or other regulated attorney services.

Undisclosed “Lifetime” Access Offers – Any Offering advertised or promoted as providing “lifetime” access without clearly and conspicuously disclosing the actual access period to End Customers.

Digital Assets and Non-Fiat Currencies – The sale, exchange, or investment solicitation of cryptocurrencies, non-fungible tokens (NFTs), or other digital or alternative currencies. Purely educational or informational content about such assets, that does not itself facilitate a sale, exchange, or investment solicitation, may be permitted.

Pyramid Schemes and Multi-Level Marketing – Pyramid or Ponzi schemes, and multi-level marketing programs in which most participant earnings are derived from recruiting other participants rather than from the sale of products or services to genuine end users outside the network.

Unlawfully Resold Tickets – Event tickets acquired through bots or other automated means, or resold in violation of applicable law.

Timeshare Products and Services – Vacation ownership programs, timeshare interests, or fractional real estate resale services.

Unregistered Financial Services – Securities, investment products, asset management services, or other financial instruments offered without the registration or licensing required by applicable law.

Weapons, Ammunition, and Explosives – Firearms, ammunition, explosives, or other materials intended for combat use, and instructions for manufacturing or modifying weapons or explosive devices.

Protected Wildlife – Endangered or protected species, and products derived from illegal wildlife trade.

This list is illustrative and not exhaustive. We, in our sole discretion, may prohibit any product, service, business category, or transaction for legal, regulatory, reputational, or risk-management reasons, whether or not it is specifically listed above.

3. Third-Party Partner Restrictions

Payments.Ai provides the Services as a Merchant of Record built on Whop Inc.’s (“Whop”) commerce platform, and using card networks, banks, and other payment processors (together with Whop, our “Financial Partners”). Because every transaction we process ultimately depends on the willingness of a Financial Partner to support it, we cannot offer the Services to any business, or support any product or service, that Whop or another Financial Partner declines to support.

Accordingly, regardless of whether a specific product, service, or business category is listed in Section 2 above, you may not use the Services to sell or offer any product or service that is prohibited, restricted, or otherwise not supported under the policies of Whop, any card network (including Visa, Mastercard, American Express, or Discover), any bank or other Financial Partner, or any other third-party provider whose infrastructure or approval Payments.Ai relies upon to provide the Services (collectively, “Partner Restrictions”).

Partner Restrictions may be broader than, different from, or updated more frequently than the categories listed in Section 2, and we may not always be able to give you advance notice of a change in Partner Restrictions before it takes effect. If we determine, or a Financial Partner notifies us, that your Offering is subject to a Partner Restriction, we may remove the Offering, suspend or restrict your account, and withhold associated payouts, in each case in accordance with our Terms of Service, whether or not you were previously permitted to sell that Offering through the Services.

If you are uncertain whether an Offering may be affected by a Partner Restriction, contact us at compliance@payments.ai before offering it for sale. We are not liable to you for any loss arising from a Partner Restriction, including a Financial Partner’s decision to stop supporting a product, service, or business category you were previously permitted to offer.

4. Restricted Products and Services

Certain products and services may be offered through the Services only with our prior written approval (“Restricted Offerings”). If you wish to offer a Restricted Offering, you must demonstrate compliance with all applicable laws, provide any licenses or certifications we request, and satisfy our operational and compliance requirements before listing it.

To request approval to offer a Restricted Offering, contact us at compliance@payments.ai with documentation supporting your legal compliance and, where applicable, your licensure. All Restricted Offerings remain subject to ongoing review, our Terms of Service, this Policy (including the Partner Restrictions described in Section 3), and the requirements of our Financial Partners, and approval may be revoked at any time.

5. Changes to This Policy

We may update this Policy from time to time, including to reflect changes in applicable law, card network rules, or the requirements of Whop or our other Financial Partners. Material changes will be reflected by updating the “Last Updated” date above. It is your responsibility to review this Policy periodically. Your continued use of the Services after a change to this Policy takes effect constitutes your acceptance of the updated Policy.
